a. Prices

Prices are subject to VATand may change without prior notice.

b. Project Delivery

Developing your website will only take a maximum of thirty (30) working days upon your submission of COMPLETE content requirements . Request for additional web pages shall be subject to additional costs at Php 1,000.00 per additional page.

c. Terms

The project has a fixed contract term of 90 working daysfrom the acceptance of this agreement and the initial payment. In the event of contract termination prior to the completion of the project or delays beyond the allocated 90 working days due to no fault of iRepublic, all payments are demandable and shall be forfeited in favor of iRepublic. If Client fails to provide the necessary content (text and images) within the fixed 90 working daycontract term , the client then automatically forfeits the development for the aforementioned number of web pages. We will then turnover website access of the iRepublic builder to the client. Client will then be responsible for the development of their own website after the 90 working days term.

d. Annual Renewal Fees

The annual renewal charge will be billed automatically upon expiry, unless there is a 30-day notice to the contrary. Statement of Account for renewal will be billed from Cloudworx, Inc. DBU iManila. These renewal rates are subject to change without prior notice.

e. Late Payments

Any payments not made within the specified Due Date on the invoices shall incur a LATE PAYMENT FEE equivalent to Three Percent (3%) on outstanding balances due each month or a fraction thereof until paid. Should there be a need for us to take legal action for payments of outstanding invoices, the Client shall reimburse all legal fees and additional costs incurred by such actions.

f. Allowed Revisions

Upon your approval of the final design , you have seven (7) working days to submit one (1) collated set of revisions LIMITED to text and image content only. Any additional design changes, functionalities, re-layout, to the approved project parameter after the publication of the website may require additional charges based on a Change Request Order (CRO) which shall be quoted at Php 1,000.00 per man-hour. Delivery of the revisions may take up to 7 working days upon submission of the complete and detailed revisions request.

g. Customized Website Design Templates

Requests for customized website templates and designs shall be subject to an additional minimum rate of Php 15,000.00 on top of the cost of the chosen iRepublic website package. This includes one (1) mock design with up to five (5) unique page layouts.

h. Exclusions

i. Google Ads

For iRepublic packages inclusive of Google Ad Credits, please give the marketing team up to three (3) working days from the date of website publication in order to activate your Google ads.

For iRepublic packages exclusive of Google Ad Credits, clients may avail of Google Ads for a minimum of USD100 ad budget. iRepublic charges a facilitation fee of 30% of the ad spend. iRepublic’s Google Ads service includes the following marketing services: Keyword Analysis, Google Ad Report, and Marketing consultation. j. Content Writing

iRepublic provides content writing services for an additional cost of Php 1,000.00 per web page. This entitles the client to 150-350 words content in any chosen web page on their website.

k. Content Format

Any content provided by the client either in text or image format shall be uploaded as is. Images are to be provided in DIGITAL format with an optimum size of 1200 x 800. Text shall also be provided in DIGITAL format (text or doc). There will be no editing of submitted content. Editing of copy and/or images are subject to additional charges.

l. Limited Liability and Intellectual Property Rights

Any material submitted for web publication shall be the full responsibility of the client and will not contain anything that may lead to an abusive or unethical use of the internet. All images and content published on the internet should be rightfully owned and/or licensed to the Client. Abusive and unethical material and uses include, but are not limited to, pornography, obscenity, nudity, violations of privacy, computer viruses, harassment, any illegal activity, spamming, advocacy of illegal activity, and any infringement of privacy.

m. Mobile Responsiveness Limitations

This service is for a Mobile Responsive website only . It is a single website which adapts to different browser views. There will be some design compromises since the website will be rendered dynamically depending on the browser type and size of the device. Your website will not display identically across different devices and software versions (Internet Browser and Operating System OS). We will test the mobile responsiveness of the website in current and updated versions of all major browsers including those made by Apple, Microsoft, Mozilla and Google. We will also test to ensure that pages will display visually in a similar, albeit not necessarily an identical way, in Microsoft Edge for Windows.

However, we will not test and will not guarantee that they will publish correctly in browsers or Operating Systems that are 2 versions older than the current version. Neither will we guarantee their appearance in abandoned browsers such as Microsoft Internet Explorer 5, 5.5,6, 7, and 8 for Windows or Mac, previous versions of Apple's Safari, Mozilla Firefox or Google Chrome for desktop and mobile unless otherwise specified. If you need to show the same or similar visual design to visitors using these older browsers, we will charge you at our agreed man-hour rate set out in our original estimate for any necessary additional code and its testing.

If there is a need to have a Mobile versionof the website which is a separate site, additional charges will apply.

n. Warranty

Fifteen (15) working days warranty on the IRepublic template from time of live publication. We shall provide free debugging during the warranty period, however, re-designs, re-coding or re-layouts shall be charged based on a Change Request Order (CRO) which shall be quoted at Php1,000.00 per man-hour.

o. Back-Up

You can save copies of your site under "backups". Backups allow you to restore your website at any point in time. While we do a periodical back up of your site, we recommend that you make it a habit to manually backup your site.

There is a cap on how many backups you can have saved at a time. There is a limit of 20 automated backups and 10 manual backups that can be stored. New manual backups override earlier manual backups, thus your earliest manual backup is deleted when you create a new one. This is also the case for automatic backups. The earliest automatic backup is deleted when a new one is created. The automated backups are created after:

• Re-publishing

· Adding or removing the Multi-Language feature

• Restoring a backup
• Deleting a site
• Accessing developer mode

Note that the Blogs have their own backup system located under Blog settings.

p. Limitations

1. Third-Party Compatibility

Unfortunately, we currently do not have a way to remove your website from the iRepublic platform. We currently cannot send your website to your computer or to another service or host. This is pretty normal for SAAS platforms like iRepublic because of the way our service works and the way our sites are designed.

2. Browser Compatibility

Desktop version of the editor

The desktop version of the iRepublic editor is officially supported in Google Chrome, Mozilla Firefox, Microsoft Edge and Safari. As of May 2018, the editor is no longer supported in Internet Explorer 11.

Updating your browser

Please note that we only support the latest version of every supported browser. If an issue you are experiencing in a certain browser cannot be replicated in a different browser, make sure the main browser you are working with has been updated to the latest version.

Considerations

Display may vary between browsers. For example, fonts do not always render the same way between browsers. This is not something that can be controlled inside your editor and has to do with the ways browsers function. This applies both for desktop and mobile view.

Beta versions of supported browsers are not supported.

If there are issues with the editor in a certain browser, make sure they aren't caused by extensions that have been installed in the browsers.

In order for editor to function properly in the browser, JavaScript must be enabled.

3. Custom Coding

Yes, Developer Mode gives you access to edit and change your website's HTML and CSS. Adding custom codes allows for advanced customization that is not possible with the drag and drop editor, however this should only be performed by advanced users with a solid understanding of web development codes.

4. e-Commerce product promotions

While there are available promo features like Discount Coupons and Sale Prices, complex promo models such as “Buy 1 Get 1” is not applicable. This may require additional custom coding and may be subject to a Change Request Order (CRO) with a rate of Php 1,000.00 per man-hour.

q. Training and Web Maintenance

As we built iRepublic to be a Do-It-Yourself platform, we’ve built the editor to be extremely user friendly. Upon publication of the website, we will provide each client with an online portal to serve as your guide on how to fully manage your website. Should you require face-to-face or one-on-one training with us, we provide two-hour trainings at a rate of Php 2,500.00 per training.

At the same time, for clients who prefer to have us professionally maintain and manage their websites, we provide Web Maintenance Services for Php 10,000.00 per year.This service includes content (text and image) uploading and editor support during office hours: Mondays to Fridays, 9:00 am to 6:00 pm. The Web Maintenance Service comprises of website updates and support for a maximum of three hours per month. Re-layout, re-design or website revamps are excluded from this service.
